These Terms and Conditions ("Terms") govern your use of the website, tools, and services provided by Goldfish Group Corporation ("Goldfish Group", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms.
Please read these Terms carefully before using our services. If you do not agree with any part of these Terms, you must not use our services.
1. Services
Goldfish Group provides e-commerce strategy, consulting, email marketing, content strategy, and paid media management services to business clients. The specific scope, deliverables, and fees for each engagement are outlined in a separate Service Agreement or Statement of Work entered into between Goldfish Group and the client.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.
2. Eligibility
By using our services, you represent and warrant that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organisation you represent.
3. Client Responsibilities
In order for Goldfish Group to deliver services effectively, you agree to:
• Provide accurate, complete, and up-to-date information about your business
• Grant us timely access to platforms, tools, and data required to perform the services
• Designate a primary point of contact for communications and approvals
• Review and respond to deliverables and requests within agreed timeframes
• Ensure that any materials or data you provide do not infringe third-party rights
4. Fees and Payment
Service fees are as agreed in your Service Agreement. Unless otherwise specified:
• Fees are invoiced monthly in advance
• Payment is due within 14 days of invoice date
• Late payments may incur interest at a rate of 2% per month on the outstanding balance
• We reserve the right to suspend services if payment is not received within 30 days of the due date
All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes applicable to your purchase.
5. Intellectual Property
5.1 Our Intellectual Property
All tools, frameworks, methodologies, templates, diagnostic instruments, and proprietary systems developed by Goldfish Group remain the exclusive intellectual property of Goldfish Group Corporation. These include but are not limited to Ray (our internal strategy tool), diagnostic tools, and reporting frameworks.
5.2 Work Product
Upon receipt of full payment, Goldfish Group assigns to you ownership of the specific deliverables created for your engagement (such as strategies, reports, and creative assets), except for any underlying tools, templates, or proprietary methodologies used in their creation, which remain the property of Goldfish Group.
5.3 Your Materials
You retain all ownership rights to materials, data, and content you provide to us. You grant Goldfish Group a limited licence to use such materials solely for the purpose of delivering the agreed services.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This obligation does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law.
Goldfish Group will not disclose your business data, financial information, or strategic materials to any third party without your prior written consent, except as required to deliver the services using trusted service providers.
7. Disclaimers and Limitation of Liability
7.1 No Guarantee of Results
Goldfish Group provides strategy, consulting, and execution services based on our expertise and the information available to us. We do not guarantee specific revenue outcomes, conversion rate improvements, or business results. E-commerce performance is influenced by many factors outside our control.
7.2 Limitation of Liability
To the maximum extent permitted by law, Goldfish Group's total liability to you for any claim arising out of or related to our services shall not exceed the total fees paid by you to Goldfish Group in the three months preceding the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of business opportunity.
8. Termination
Either party may terminate a service engagement by providing 30 days written notice, unless a different notice period is specified in the applicable Service Agreement.
We reserve the right to terminate services immediately if you breach these Terms, fail to pay fees when due, or engage in conduct that is harmful to Goldfish Group or its team members.
Upon termination, you remain liable for all fees incurred up to the date of termination. We will deliver any completed work product for which payment has been received.
9. Use of Our Website and Tools
You agree not to use our website or tools to:
• Violate any applicable laws or regulations
• Transmit harmful, offensive, or fraudulent content
• Attempt to gain unauthorised access to our systems
• Reverse engineer, copy, or replicate our proprietary tools or methodologies
• Use our tools for any purpose other than your own internal business use
10. Third-Party Services
Our services may involve the use of third-party platforms (such as Klaviyo, Meta Ads, Shopify, and Google Analytics). Your use of those platforms is governed by their respective terms of service. Goldfish Group is not responsible for any third-party platform outages, changes, or actions that affect service delivery.
11. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the relevant courts.
12. Changes to These Terms
We reserve the right to update these Terms at any time. We will provide reasonable notice of material changes. Your continued use of our services after changes are posted constitutes your acceptance of the revised Terms.
